Job Purpose and Impact

The Senior Director, Corporate Governance Attorney will independently handle the corporate governance legal needs of Cargill and its subsidiaries with limited oversight from senior lawyers. In this role, you will provide legal advice and recommend action to leaders regarding matters of moderate to high complexity or with a sizable financial impact. Key Accountabilities

  • Partner with the Board of Directors and business leaders across the company to design and facilitate effective meetings for the Executive Team, the Board, and its committees, which may include drafting and reviewing resolutions, minutes, and other meeting materials to ensure compliance with corporate law.
  • Drive efficiencies in our global subsidiary management, equity management, and regulatory compliance processes.
  • Independently research, analyze and interpret proposed and existing corporate and securities laws, statutes and regulations.
  • Identify, evaluate and address issues of legal risk in a corporate governance context.
  • Independently structure, draft, negotiate and approve legal agreements, written communications and other documents related to a variety of corporate governance, securities, and regulatory matters.
  • Gather relevant facts and information from multiple sources using probing questions and methods and apply the results to research legal principles and precedents.
  • Provide practical solutions and advice to business and function leaders.
  • Provide expert thought leadership in your field and work with limited direction, using additional research and interpretation to identify issues or problems. You may provide direction to supporting team members and be a strategic contributor.

Qualifications

Minimum Qualifications

  • Bachelor’s degree in a related field or equivalent experience
  • Juris doctor and licensed to practice law in current jurisdiction with an ability and willingness to be licensed in Minnesota
  • Excellent communication, advocacy, writing and drafting skills
  • Ability to problem solve using a creative, resilient and agile approach
  • Ability to build trusting and collaborative relationships and proactively address conflict
  • Minimum of six years of related work experience
  • Other minimum qualifications may apply

PREFERRED QUALIFICATIONS

  • In-house attorney experience, preferably at a large company with global operations
  • Experience leading or managing others
  • Strong executive presence and ability to effectively communicate with individuals at all levels of the organization
  • Corporate Governance experience, including knowledge of Delaware corporate law, administration of Board of Directors meetings, and subsidiary management best practices
  • Familiarity with stock transactions and equity management solutions
  • Securities law experience and knowledge of SEC regulations is a plus
